License Agreement
License Agreement for Magic UI Pro
This License Agreement (the "Agreement") is entered into by and between Magic UI ("Licensor") and the purchaser ("Licensee"). By purchasing, downloading, or using any product from Magic UI (the "Products"), you agree to be bound by the terms of this Agreement.
1. License Grant
Licensor grants Licensee a non-exclusive, non-transferable license to use the Products in accordance with the terms set forth below:
Permitted Use
- Licensee may use the Products to create landing pages or other digital products for personal or commercial use in their business.
- Licensee may modify the Products as necessary to suit their own business needs.
Prohibited Use
- Licensee may not redistribute, resell, share, or otherwise transfer the Products, whether in their original form or a modified version, to any third party.
- Licensee may not claim ownership or authorship of the Products, even if modified.
- Licensee may not use the Products in a way that competes with the business of Magic UI, including but not limited to selling similar templates or products derived from the original templates.
Penalties for Unauthorized Redistribution
In the event that Licensee is found to have engaged in unauthorized redistribution, sharing, or transfer of the Products, Licensor reserves the right to take the following actions:

Licensor may, at its sole discretion, file a Digital Millennium Copyright Act (DMCA) takedown notice against any infringing content or platforms hosting such content.

Licensee shall be liable for liquidated damages in the amount of ten thousand United States Dollars ($10,000 USD) per instance of unauthorized redistribution. Such damages are agreed upon as a reasonable estimation of the harm caused to Licensor and shall be due and payable immediately upon written notice from Licensor.

Licensor reserves the right to pursue any and all legal remedies available under applicable law, including but not limited to injunctive relief and additional monetary damages.
2. Ownership
All Products remain the intellectual property of Magic UI. This Agreement grants Licensee a limited license to use the Products but does not transfer any rights of ownership. Magic UI reserves all rights not expressly granted in this Agreement.
3. Refund and Return Policy
All Products provided by Magic UI are non-refundable and non-returnable due to the digital nature of the content. Once purchased, the Products are considered final sale, and no refunds or returns will be provided under any circumstances.
4. Updates and Support
Magic UI may provide updates or bug fixes to the Products at its sole discretion. Any updates provided will also be subject to the terms of this Agreement. Support is available by contacting [email protected].
5. Disclaimer of Warranties
The Products are provided "as is," without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. Magic UI does not warrant that the Products will meet your requirements or that their operation will be uninterrupted or error-free.
6. Limitation of Liability
To the fullest extent permitted by law, Magic UI shall not be liable for any damages arising out of or in connection with the use or inability to use the Products. This includes, but is not limited to, direct, indirect, incidental, or consequential damages.
7. Termination
This Agreement is effective until terminated. Magic UI may terminate this Agreement if Licensee breaches any of its terms. Upon termination, Licensee must immediately cease all use of the Products and destroy any copies in their possession.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from this Agreement shall be resolved in the courts of California, United States.
